Terms of Service

By creating an account, accessing, or using the Platform in any way, you agree to be bound by these Terms, together with our Privacy Policy and any role-specific policy that applies to you, including the Navigator Partner Policy and Navigator Partner Agreement for Navigators. If you do not agree to these Terms, you must not access or use the Platform.

“Platform” means the Dropoint website, mobile application, application programming interfaces, and related services.

“Navigator” means an independent contractor registered on the Platform to perform pickup, delivery, errand, or moving services.

“Store” means a merchant or business that lists products or requests deliveries through the Platform.

“Customer” means the end user who requests or receives goods via the Platform.

“Assignment” means a specific delivery, errand, or moving task facilitated through the Platform.

“Content” means any text, images, data, or other material submitted to or displayed on the Platform.

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account.

You must have the legal capacity to enter into a binding contract under the laws of Kenya.

You must provide accurate, current, and complete information during registration, and keep that information up to date.

Dropoint may refuse to register, or may suspend, any User who does not meet applicable eligibility criteria, including the category-specific criteria set out in the Navigator Partner Policy.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must notify Dropoint immediately of any unauthorized use of your account or any other breach of security.

You may not share your account with, or transfer it to, any other person. Navigator accounts in particular are personal to the verified individual and may not be used by anyone else to accept or fulfil Assignments.

Dropoint may use phone number verification, One-Time Passwords (OTP), biometric checks, or other means to verify your identity from time to time.

Use of the Platform by Navigators, Stores, and Customers is additionally governed by role-specific policies and agreements, which form part of these Terms by reference. For Navigators, these include the Dropoint Navigator Partner Policy and the Dropoint Navigator Partner Agreement. Where a role-specific policy conflicts with these Terms on a matter it specifically addresses, the role-specific policy prevails for that matter.

Subject to your compliance with these Terms, Dropoint grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for its intended purpose; requesting, fulfilling, or facilitating deliveries and related services in Kenya. This licence does not include any right to resell, sublicense, reverse-engineer, or create derivative works from the Platform.

When using the Platform, you agree not to:

Provide false, misleading, or fraudulent information, or impersonate any person or entity.

Use the Platform for any unlawful purpose, or to transport prohibited, hazardous, or illegal goods.

Interfere with, disrupt, or attempt to gain unauthorised access to the Platform, its servers, or connected networks.

Use automated means (bots, scrapers, or similar tools) to access or extract data from the Platform without Dropoint's prior written consent.

Harass, threaten, or discriminate against other Users, or engage in conduct that endangers the safety of any person.

Circumvent the Platform to transact directly with another User in a manner that avoids applicable fees, where such a transaction was facilitated by the Platform.

Fees applicable to Customers, Stores, and Navigators (including delivery fees, service fees, and commission) are set out in the applicable role-specific agreement or in-app pricing, and may be updated by Dropoint from time to time with reasonable notice.

Payments on the Platform are processed through supported channels, including M-Pesa. Dropoint is not responsible for delays or failures caused by third-party payment providers or mobile network operators.

Users are responsible for their own applicable taxes arising from their use of the Platform, except where Dropoint is required by law to withhold or remit tax on a User's behalf.

The Platform, including its software, design, logos, trademarks (including the Dropoint name and pin-mark logo), and all related intellectual property, is owned by or licensed to Dropoint and is protected under Kenyan and international intellectual property law. Nothing in these Terms transfers any ownership of that intellectual property to you.

You retain ownership of any Content you submit to the Platform (such as profile photos, delivery notes, or ratings). By submitting Content, you grant Dropoint a worldwide, royalty-free, non-exclusive licence to use, reproduce, and display that Content for the purposes of operating, promoting, and improving the Platform. You are solely responsible for the Content you submit and must ensure you have the right to share it.

The Platform may integrate or rely on third-party services, including mapping and location services, mobile money platforms such as M-Pesa, and SMS or notification providers. Dropoint does not control these third-party services and is not responsible for their availability, accuracy, or performance. Your use of any third-party service may be subject to that provider's own terms.

Dropoint collects and processes personal data in accordance with the Data Protection Act, 2019 (Kenya) and the Dropoint Privacy Policy, which forms part of these Terms. By using the Platform, you consent to the collection, processing, and use of your personal data as described in the Privacy Policy.

The Platform is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Dropoint disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Dropoint does not guarantee that the Platform will be uninterrupted, error-free, or free of harmful components.

Dropoint acts as a technology platform connecting Navigators, Stores, and Customers. Dropoint does not itself provide transport, courier, or moving services, and is not a party to the underlying transaction between a Store and a Customer.

To the fullest extent permitted by law, Dropoint shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Platform. Dropoint's total aggregate liability arising out of or relating to these Terms shall not exceed the fees paid by you to Dropoint in the three (3) months preceding the event giving rise to the claim, except where such limitation is not permitted by law.

You agree to indemnify and hold Dropoint, its directors, employees, and agents harmless from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Platform, or your violation of any applicable law or third-party right.

Dropoint may suspend or terminate your access to the Platform at any time, with or without notice, where you breach these Terms, engage in fraudulent or unsafe conduct, or where required by law.

You may stop using the Platform, or request deletion of your account, at any time, subject to any obligations that survive termination under an applicable role-specific agreement.

Provisions relating to intellectual property, limitation of liability, indemnification, confidentiality, and dispute resolution survive termination of your account.

Dropoint may update the Platform and these Terms from time to time to reflect changes in the law, our operations, or industry practice. Material changes will be communicated via the app or website with reasonable notice. Continued use of the Platform after the effective date of any changes constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the Republic of Kenya. The parties will first attempt to resolve any dispute arising from these Terms through good-faith negotiation. Where a dispute cannot be resolved through negotiation, it may be referred to mediation and, failing resolution, to arbitration or the courts of Kenya, as further set out in the applicable role-specific agreement.

Entire agreement: these Terms, together with the Privacy Policy and any applicable role-specific policy or agreement, constitute the entire agreement between you and Dropoint regarding use of the Platform.

Severability: if any provision of these Terms is found unenforceable, the remaining provisions continue in full force and effect.

No waiver: Dropoint's failure to enforce any provision of these Terms does not constitute a waiver of that provision.

Assignment: you may not assign or transfer your rights under these Terms without Dropoint's prior written consent. Dropoint may assign these Terms in connection with a merger, acquisition, or sale of assets.

Force majeure: Dropoint is not liable for any failure or delay in performance caused by circumstances beyond its reasonable control.
